YP ACADEMY – MEMBERSHIP TERMS

YP Academy is our online content service that allows members to create their own profile and access our digital jobs board, as well as exclusive content featuring some of the UK’s largest employers. These Terms govern your use of our service. As used in these Terms, “the Service” or “YP Academy” means the service provided to you by Young Professionals, allowing you to access our website, content, features and any software associated with our service.

These terms

1.1

What these terms cover. These are the terms and conditions on which we supply services and digital content to you.

Why you should read them. Please read these terms carefully before you sign up to the Service. These terms tell you who we are, how we will provide services and digital content to you, how you and we may change or end your membership, what to do if there is a problem and other important information. Information about us and how to contact us

2.1

Who we are. We are Young Professionals UK – Inspiring A New Generation Ltd a company registered in England and Wales. Our company registration number is 09719565 and our registered office is at 54 Heanor Road, Smalley, Ilkeston, Derbyshire, United Kingdom, DE7 6DW (“we”, “us”, “YPUK”).

2.3

How we may contact you. We will send you information relating to your account (e.g. payment authorisations, charges, changes to your password or payment method, notices) in electronic form only, via email to the address you have provided during registration.

3.

The Service

3.1

Registration and auto-renewal Your membership to YP Academy begins when you register and accept these Terms. It will automatically renew at the end of the charging period, unless cancelled in accordance with the instructions for cancellation below. Subscription to the Service includes enrolment to a recurring payment plan. Membership automatically renews without any additional action by the member unless cancelled.

3.2

Parental consent. If you are under 18 years old, by registering with the Service you confirm that you have the consent of your parent or guardian and agree that you may only use the Service under the supervision of a responsible adult.

3.3

Limitations of use. The Service and any content accessed through or via the Service is for your personal and non-commercial use only and may not be shared. During your YP Academy membership, we grant you a limited, non-exclusive, non-transferable right to access the Service and associated content. No other right, title or interest shall be granted to you. You agree not to share our content in public (e.g. at school).

3.4

Your use. By registering with YP Academy, you agree not to archive, reproduce, distribute, modify, display, perform, publish, license or offer for sale any content and information contained on or obtained via the Service. You also agree not to circumvent, remove, alter, deactivate or otherwise degrade any of the content protections in the Service; use any robot, spider, scraper or other automated means to access the Service; decompile, reverse engineer or disassemble any software or other products or processes accessible through the Service; insert any code or product or manipulate the content of the Service in any way; or use any data mining, data gathering or extraction method. In addition, you agree not to upload, post, e-mail or otherwise send or transmit any material designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment associated with the Service, including any software viruses or any other computer code, files or programs. We may terminate or restrict your use of YP Academy if you violate these Terms.

3.5

Content. We will regularly update the YP Academy website and the content available to you via the Service. Some content may be removed or updated from time to time in order for us to ensure we continue to provide you the most relevant content. We may also implement minor technical adjustments and improvements, for example to address a security threat. These changes will not affect your use of the Service. The content we provide via YP Academy is for educational use only and is not intended to be relied on as any form of legal, financial or investment advice. From time to time we may link you to content provided by third parties (for example our employer partners). Where such content is not hosted by us, it will not be subject to these Terms, our Privacy Policy or our website terms of use. You should check those third parties’ websites to make sure you understand the terms on which you can use such content. We will always use reasonable skill and care in providing the Service and any content provided through the Service.

3.6

No warranty as to quality. Some content available via YP Academy (e.g. video content) will require minimum system capabilities (e.g. bandwidth, download speed, display resolution) for best results. We give no warranty or guarantee as to the quality of the display of content, which may vary from device to device.

4.

Your Account

4.1

Passwords. You, the YP Academy member, are responsible for any activity that occurs through your YP Academy account. You must not share your password with any third party. We recommend you use a strong and memorable password, and that you change your password regularly. You must notify us immediately if you suspect somebody else has accessed your account. We will not be liable for any losses arising from unauthorised use of the Service, unless such losses are the result of any act or omission of YPUK.

4.2

Account. You, the YP Academy member, are responsible for updating and maintaining the accuracy of the personal information you provided us during registration. We reserve the right to terminate your membership or place your membership on hold if we suspect your account security has been compromised.

5.

Charging and cancellation

5.1

Where to find the price for the product. The price of your YP Academy membership will be the price indicated on our website when you register with us. We take all reasonable care to ensure that the price of membership advised to you is correct. In the event we discover an error in the price of membership advised to you, we will notify you of the correct price and refund any overpayment within 14 days of notifying you.

5.2

Charging cycle. The membership fee for access to YP Academy will be charged in advance to your Payment Method on the first day of your paid subscription, and on the first day of each auto-renewal period. Your charging cycle will be either monthly or annual, depending on the choice you made during registration. We reserve the right to offer alternative charging cycles from time to time. In some cases your payment date may change (e.g. when your paid membership began on a day not contained in a given month). Your next payment date will be shown in the “Subscription” section on the YP Academy website.

5.3

Free Trials. Your YP Academy membership may start with a free trial. Availability of a free trial is not guaranteed and, if one is available, it is only available to those who have not previously used one for YP Academy. Your first payment will be charged to your Payment Method following the end of the free trial, unless cancelled in accordance with the instructions for cancellation below. We will provide details of the free trial when you register as a YP Academy member, but you may not receive a separate notice that your free trial is about to end or has ended, or that your paid membership has begun.

5.4

Changes to our prices. We may change the prices we charge for the Service from time to time. We will notify you of any price changes at least 45 days before they come into effect.

5.5

Payment Method. To use YP Academy, you must provide a payment method which is accepted by our third-party payment provider (“Payment Method”). You authorise us (and our third-party payments provider) to charge the Payment Method registered to your YP Academy account for payment of your membership fee. Where the Payment Method belongs to a parent or guardian, you confirm that you have obtained their consent. You are responsible for any unpaid amounts. If any payment is not successfully made (e.g. due to the Payment Method having expired, or insufficient funds), we may suspend your access to the Service until any unpaid amounts have been paid. We will not be liable for any fees relating to the processing of payments (e.g. card issuer fees). Please check with your Payment Method provider if you are unsure about this.

5.6

Updating your Payment Method. You can update your Payment Method in the “Subscription” section on the YP Academy website. Following any update, you authorise us to continue to charge your Payment Method.

5.7

Cancellation. You can cancel your YP Academy membership at any time. Save for any payments which are outstanding at the time of cancellation, we will not charge you any further amounts. All payments are non-refundable, and we do not provide refunds or credits for any partial membership periods or unused YP Academy content. If you cancel your membership, we will automatically close your account at the end of the charging cycle. You have a statutory right to cancel your membership within 14 days of signing up to the Service, and if you choose to do so you will not be charged, and we will refund any payments you have made to us within 14 days.

5.8

How to cancel. In order to cancel your YP Academy membership, open the “Subscription” section on the YP Academy website and select “turn off” auto-renew. Once you have clicked this option and confirmed you wish to cancel, your membership will automatically expire at the end of the charging cycle. If you experience any issues with cancellation via this method, please contact us via any of the methods above.

5.9

Service failure. If we fail to provide you with the Service (either partially or completely), you can terminate your YP Academy membership by contacting us using any of the methods listed above, and we will refund your membership fee for the portion of the charging cycle unused at the time of termination, in addition to any portion of the charging cycle during which you did not have access to the Service as a result of our failure.

5.10

Termination. Upon termination of your YP Academy account, whether terminated by us or at your request (except for cancellation of your membership in which case your membership will continue until the end of the charging cycle), you will immediately lose the right to access the Service.

7.

Other important terms

7.1

Our liability. Nothing in these Terms affects your statutory rights. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill. If defective digital content which we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. We only supply the Service for domestic and private use. To the extent not prohibited by applicable law, we shall not be liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity resulting from the use of, or inability to use the Service. We will not be liable for any delay or failure in performance resulting from causes beyond our reasonable control. Under no circumstances will our liability to you (howsoever arising) exceed one thousand pounds (£1,000).

7.2

Your statutory rights. Nothing in these Terms affects your statutory rights. Legally, any digital content we provide to you must be as described, fit for purpose and of satisfactory quality. If your digital content is faulty, you are entitled to a repair or replacement. If a fault cannot be fixed, or if it hasn’t been fixed within a reasonable period of time and without significant inconvenience, you may be entitled to a partial or full refund. If you can show that the fault has damaged your device and we haven’t used reasonable care and skill, you might be entitled to a repair or compensation.

7.3

If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

7.4

Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date. For example, if you miss a payment and we do not chase you but we continue to provide the Service, we can still require you to make the payment at a later date.

7.5

Governing law. These terms are governed by the law of England and Wales and you can bring legal proceedings in respect of the Service in the English or Welsh courts. If you live in Scotland you can bring legal proceedings in respect of the Service in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the Service in either the Northern Irish or the English courts.

7.6

Changes to these Terms. We may, from time to time, change these Terms. We will notify you of any changes to these Terms at least 45 days before they come into effect.
